ITRESIDENCY.GE SERVICE

A usable Georgian company—not only a registry extract

Foreign founders, technology businesses and international groups establishing a Georgian LLC, subsidiary or registered branch.

  • LLC, subsidiary or branch choice
  • charter, ownership and director powers
  • legal address and Public Registry filing
  • tax, contracts and accounting activation
  • bank KYC and foreign-founder planning

What this service covers

We form a Georgian IT company around the way the business will actually operate: ownership, director powers, legal address, registration and the connected tax, banking, employment and founder-relocation steps.

A Georgian company can generally be foreign-owned, but registration does not guarantee a bank account, a special tax status or the founder’s personal right to work or reside in Georgia.

STRUCTURE BEFORE REGISTRATION

Choose the legal form around ownership, control and real operations

A Georgian LLC is often the practical choice for a foreign-owned IT business, but a subsidiary, registered branch or individual-enterprise route may fit different facts. We confirm the ownership, director powers, signing method, legal address and intended activity before preparing documents.

  • Shareholders, beneficial owners and ownership percentages
  • Director appointment and individual or joint signing powers
  • Company name, legal address and scope of activity
  • Foreign founder, parent-company or power-of-attorney documents
  • Remote or in-person signing and authentication route
WHAT FORMATION INCLUDES

We prepare the Georgian documents and manage the registry step

Founders provide the business facts and identity or corporate documents they already hold. Our team prepares the agreed charter, establishment decision, representation provisions, address documents and registration application.

  • LLC, subsidiary or branch comparison
  • Formation and governance documents
  • Apostille, legalisation and certified Georgian translation plan
  • Public Registry filing and registered extract
  • Revenue Service registration and initial tax settings
AFTER REGISTRATION

A registered company still needs an operating setup

The formation handover identifies the next steps instead of leaving the new company as an unused registry entry. The scope can be extended to bank preparation, contracts, accounting, payroll, special-status assessment and founder or employee immigration.

  • Beneficial-owner, source-of-funds and expected-transaction bank file
  • Customer, supplier, employment and contractor documents
  • Accounting onboarding, invoice controls, payroll and VAT review
  • International Company, Virtual Zone or innovation/R&D status assessment where realistic
  • Foreign founder and employee right-to-work and residence planning

PRACTICAL EXAMPLE

How this may look in a real case

A foreign software founder receives a clear signing and document route, Georgian formation documents, registry filing and a post-registration checklist for tax activation, bank KYC, contracts, accounting and any personal work or residence process.

AVOIDABLE PROBLEMS

What can slow the process down

We check these points at the beginning and flag gaps before filing, so you can correct them while there is still time.

  • The company is registered before ownership, director powers and the real activities are agreed.
  • Foreign documents are signed or legalised through a route that the Georgian filing cannot use.
  • A bank account or special tax status is treated as automatic after registration.
  • Accounting, contracts, payroll and VAT are first considered after invoices or salaries have already started.
  • The foreign founder begins work without a separate work-right and residence review.

QUESTIONS CLIENTS ASK

Frequently asked questions

Can a foreigner own 100% of a Georgian LLC?

Yes. A Georgian LLC can generally be wholly foreign-owned and have a foreign director. The company still needs a Georgian legal address, formation documents and a separate tax, banking, work-right and residence plan.

Can I form a Georgian IT company remotely?

Often yes, using properly prepared powers of attorney or foreign-signed documents. The notarisation, apostille or legalisation and certified Georgian translation route depends on the country and signing method. A bank may separately require an interview or personal presence.

What information do you need to form the company?

Start with the proposed name and activities, shareholder details and percentages, director and signing powers, passport or corporate records, contact details, preferred signing route and legal-address needs. We prepare the agreed Georgian formation documents.

How quickly can a Georgian company be registered?

Public Registry registration can be fast once the final documents, address and signing or authentication route are ready. Preparation, foreign-document legalisation and bank onboarding are separate from the registry service period.

Does company formation include a Georgian bank account?

No bank account is guaranteed. Banks perform their own KYC and commercial review. We can prepare the ownership, source-of-funds, business model, client, contract and expected-transaction file for the selected bank.

Which tax status should an IT company choose?

Do not choose from the headline rate alone. An ordinary LLC, International Company, Virtual Zone Person, Innovative Startup, Innovative SME and R&D Service Provider use different activity, history, substance, funding or R&D tests. A separate status assessment may be added where realistic.

Does owning a Georgian company let me work or live in Georgia?

No. Share ownership, director authority, the Georgian right to work and immigration residence are separate. We can review and coordinate the founder’s individual route alongside formation.

What happens after registration?

The company normally needs tax and accounting activation, bank preparation, contracts and invoice controls, payroll if it hires, VAT review and any work-right, residence or special-status work. The handover lists the agreed next steps and responsibilities.
